Targovax ASA: Announcement of successful NOK 110 million private placement

Oslo, 22 June 2016: Reference is made to the announcement from Targovax ASA (“Targovax” or the “Company”) dated 20 June 2016 regarding the contemplated private placement to raise NOK 100 – 130 million (the “Private Placement”).

Targovax is pleased to announce that the Company’s Board of Directors has allocated 14,685,000 shares at a price of NOK 7.50 per share, raising total gross proceeds of NOK 110 million in the Private Placement.

The completion of the Private Placement is subject to (i) the corporate resolutions of the Company required to issue the new shares, including approval of the Private Placement and issuance of the new shares by the extraordinary general meeting of Targovax expected to be held on 6 July 2016 (the “EGM”) and (ii) registration of the increased share capital of the Company pursuant to the Private Placement in the Norwegian Register of Business Enterprises.

The Company’s Board of Directors will propose to the EGM to carry out a subsequent offering, raising gross proceeds of up to NOK 20 million (the “Subsequent Offering”). Shareholders of the Company as of the last trading day of the application period (21 June 2016) (as registered in the Norwegian Central Securities Depository (VPS) on the second trading day thereafter (23 June 2016)), who are not resident in a jurisdiction where such offering would be unlawful, or would (in jurisdictions other than Norway) require any prospectus filing, registration or similar action will have a preferential right to subscribe for the share in the Subsequent Offering. Shareholders who participated in the pre-sounding of the Private Placement or were allocated Offer Shares in the Private Placement will not be eligible to receive subscription rights in the Subsequent Offering. Oversubscription and subscription without subscription rights will be permitted. The subscription price in the Subsequent Offering will be equal to the subscription price in the Private Placement. The subscription period for the Subsequent Offering is expected to commence in the first half of July 2016 and expire four weeks thereafter.

The Company’s Board of Directors has resolved to apply for a listing of the Company’s shares on Oslo Axess, a stock exchange operated by Oslo Børs ASA (the “Listing”). The Listing is expected to take place in mid-July 2016.
